1. FreightLink Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FreightLink platform, operated by FreightLink Solutions LLC ("FreightLink," "we," "our," or "us"). By creating an account, accessing, or using any FreightLink service, you agree to be bound by these Terms.

FreightLink is a technology-enabled freight marketplace that connects carriers, brokers, shippers, receivers, and dispatchers. FreightLink does not operate as a carrier, broker, freight forwarder, or insurer. FreightLink facilitates connections but is not a party to any transportation agreement between users.

These Terms, together with the Privacy Policy and Billing Agreement, constitute the complete agreement between you and FreightLink Solutions LLC regarding your use of the platform.

2. User Responsibilities

As a FreightLink user, you agree to:

• Provide accurate, truthful, and complete information during registration and at all times
• Maintain all required federal, state, and local licenses, permits, and insurance
• Comply with all applicable laws, regulations, and FMCSA requirements
• Operate in good faith in all transactions facilitated through the platform
• Promptly update your profile information when changes occur
• Maintain accurate insurance certificates and notify FreightLink of any lapse
• Pay all amounts owed under your subscription and any services used

3. Acceptable Use

You agree NOT to:

• Double-broker, re-broker, or co-broker loads without explicit disclosure and consent
• Misrepresent your identity, authority, equipment, or capabilities
• Use the platform for any unlawful purpose
• Attempt to circumvent platform security, access controls, or session management
• Share account credentials or allow unauthorized access to your account
• Engage in harassment, threats, discrimination, or abusive conduct
• Upload malicious code, spam, or unauthorized commercial solicitations
• Scrape, data-mine, or systematically extract data from FreightLink
• Dispatch operations from outside the United States

4. Account Security

FreightLink enforces a single-session security policy. Each account may only be actively logged in on one device at a time. Logging into a new device will terminate the previous session.

You are responsible for maintaining the confidentiality of your account credentials. You agree to immediately notify FreightLink of any unauthorized access or security breach.

FreightLink reserves the right to suspend or terminate accounts that exhibit suspicious activity, multiple concurrent sessions from unusual locations, or evidence of credential sharing.

5. Subscription & Billing Authorization

By subscribing to FreightLink, you authorize FreightLink Solutions LLC and its payment processor (Stripe, Inc.) to charge the payment method you provide for:

• Your selected subscription plan at the disclosed rate
• Recurring charges at each billing cycle until canceled
• Any services, upgrades, or add-ons you expressly authorize
• Applicable taxes and fees

Your subscription will automatically renew at the end of each billing period at the then-current rate unless you cancel prior to the renewal date in accordance with the cancellation policy below.

FreightLink will provide reasonable notice of any price changes. Continued use of the platform after a price change constitutes acceptance of the new rate.

6. Recurring Payment Authorization

By providing your payment information and completing your subscription, you expressly authorize FreightLink Solutions LLC to initiate recurring charges to your designated payment method. This authorization remains in effect until you cancel your subscription through the platform's cancellation process.

If a scheduled payment fails, FreightLink may reattempt the charge within the billing period. Continued failure may result in suspension of platform access until the account is brought current.

7. Cancellation Policy

You may cancel your FreightLink subscription at any time through your account settings (Manage Payment Methods). Upon cancellation:

• Your access continues through the end of your current paid billing period
• No additional charges will be initiated after cancellation is confirmed
• You will not be charged for the next billing cycle
• Your account data will be retained for 90 days, after which it may be permanently deleted

Cancellation does not entitle you to a refund of the current billing period. There are no early termination fees.

8. Refund Policy

FreightLink subscriptions are generally non-refundable. However, FreightLink may issue refunds at its sole discretion in the following circumstances:

• Duplicate charges caused by system error
• Charges processed after confirmed cancellation
• Extended platform outages affecting service availability (determined by FreightLink)

Refund requests must be submitted within 30 days of the disputed charge by contacting admin@freightlinksolutions.net. All refund decisions are final.

9. Billing Disputes

If you believe a FreightLink charge is incorrect or unauthorized, you agree to contact FreightLink promptly at admin@freightlinksolutions.net so that we have an opportunity to investigate and resolve the matter.

Filing a payment dispute or chargeback with your financial institution does not eliminate amounts legitimately owed under this Agreement. FreightLink may provide the payment processor or financial institution with account records, login records, acceptance records, subscription information, communications, IP/device logs, and other documentation supporting the transaction.

FreightLink reserves the right to suspend platform access and pursue collection of undisputed amounts during and after any billing dispute process.

10. Platform Access & Suspension

FreightLink may suspend, restrict, or terminate your access to the platform at any time for:

• Violation of these Terms or any FreightLink policy
• Non-payment of subscription fees
• Fraudulent, deceptive, or illegal activity
• Safety violations or failure to maintain required insurance
• Abuse or harassment of other users or staff
• Any other reason deemed necessary to protect the platform community

Suspension or termination does not relieve you of any payment obligations incurred prior to termination.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FREIGHTLINK SOLUTIONS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

FreightLink's total aggregate liability for any claims arising under these Terms shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.

FreightLink is not responsible for disputes between users, non-payment between parties, cargo loss or damage, or any transportation-related incidents.

12. Privacy Policy

FreightLink collects, processes, and stores personal and business information as described in our Privacy Policy. By using FreightLink, you consent to the collection and use of your information in accordance with the Privacy Policy.

Information collected includes but is not limited to: name, email, phone, company details, DOT/MC numbers, insurance documents, driver's license, vehicle information, GPS/location data, login activity, IP addresses, and device information.

FreightLink may share information with payment processors, insurance verification services, FMCSA databases, and as required by law. FreightLink does not sell personal information to third-party marketers.

13. Electronic Communications & Electronic Signature Consent

By accepting these Terms electronically, you consent to:

• Receive all communications, notices, disclosures, and documents electronically
• Conduct transactions and execute agreements through electronic means
• Accept that your electronic acceptance has the same legal force as a handwritten signature
• Receive billing notices, policy updates, and service communications via email

You acknowledge that electronic records of your acceptance, including timestamps, IP addresses, device information, and checkbox selections, constitute valid evidence of your consent and agreement.

You may withdraw consent to electronic communications by canceling your account, but doing so will terminate your access to FreightLink.

14. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law principles. Any legal action arising from or related to these Terms shall be brought exclusively in the state or federal courts located in Faulkner County, Arkansas.
